Vendor Directory Terms of Service

This Vendor Directory Agreement (“Agreement”) establishes the terms and conditions governing the relationship between Consumer Advocacy and Empowerment Foundation (CADEF), operating the Distributed Energy Resources (DER) platform (“Platform”), and the registered clean energy vendors (“Vendor”, “You”).

1 Acceptance of Terms

By registering as a Vendor on the DER Vendor Directory, you agree to these Terms of Service. If you do not agree, you should not register or use the Platform.

2 Registration & Verification

Provide accurate information about your business and operating experience.
Be legally registered where applicable.
Submit requested verification documents.
Cooperate during verification.
Payment details provided must belong to the registered business or its authorized owner.

3 Vendor Responsibilities & Code of Conduct

Vendors represent the clean energy transition and agree to act honestly and professionally at all times. By using the platform, vendors agree to:

Sell genuine products: Deliver products as described and avoid misleading advertisements.
Deliver quality services: Provide accurate quotations and act professionally.
Keep information updated: Vendors must keep their business information, contact details, certifications, and service offerings accurate and up to date at all times. They agreed to update their details immediately if there is a change.
Treat customers professionally: Respect customers and protect customer information.
Comply with applicable laws: Vendors are responsible for complying with all applicable laws, regulations, industry standards, and licensing requirements in the countries where they operate.

4 Customer Support

Honour warranties.
Respond to complaints promptly.
Resolve disputes fairly.

5 Fraud Prevention

No false information. All information provided must be true, accurate, and complete to the best of your knowledge.
No counterfeit products.
No scams.
Consent to verification.

6 Platform Role

The DER Vendor Directory connects consumers with verified vendors. The Platform does not sell products, process payments, guarantee transactions, or participate in agreements between vendors and customers.

7 Liability

Vendors are solely responsible for the products and services they provide. The Platform is not liable for disputes, losses, damages, delays, or claims arising from transactions between vendors and customers.

8 Suspension & Appeals

The Platform may suspend or remove a vendor who violates these Terms, provides false information, engages in fraudulent or unethical conduct, receives repeated unresolved complaints, or otherwise poses a risk to users or the integrity of the Platform. The Platform may suspend or remove vendors to protect users and maintain trust in the directory.

Vendors may contact the Platform to request a review if they believe their account was suspended or terminated in error.

9 Privacy & Security

Privacy

The Platform will collect and process vendor information in accordance with its Privacy Policy. Vendors consent to the use of their information for verification, directory listings, and platform administration.

Account Security

Vendors are responsible for maintaining the confidentiality of their login credentials and are responsible for all activities performed using their account.

10 Intellectual Property & Data Usage

Respect Intellectual Property

Vendors may not copy, misuse, or reproduce any content, software, branding, or data belonging to the Platform without written permission.

AI & Directory Clause

Information submitted by Vendors may be used by the Platform to recommend vendors, improve search results, generate analytics, and support AI-powered matching tools.

11 Platform Expansion

Future-Proof Clauses: The Platform may introduce additional features, verification requirements, ratings, reviews, AI recommendations, or premium services in the future.

12 Legal Provisions

Changes to Terms

The Platform may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria.
